Walled Gardenis a curated music streaming co-op. Listeners pay $11.99/month for streaming access; after real platform costs, each listener's remaining subscription is allocated only to the artists they actually listened to that month.
You must be at least 13 years old to create an account (at least 16 if you are in the European Economic Area or the United Kingdom), and old enough to form a binding contract where you live. Walled Garden is not directed at children and does not knowingly collect personal information from anyone under 13.
You are responsible for your account credentials and for the accuracy of information you provide. One account per person. We may suspend accounts engaged in fraud, streaming manipulation, rights violations, or abuse.
Subscriptions are billed monthly through our website and can be canceled anytime, effective at the end of the billing period. Because each month's subscription is allocated to the artists you played that month, fees already allocated to artists are not refundable. If something went wrong with a charge, write to us and we will make it right. If you are in the EU or UK, you may withdraw from a new subscription within 14 days of purchase for a refund of that charge, reduced proportionally by any part of the service period already elapsed; by starting the subscription immediately you consent to the service beginning before the withdrawal period ends.
Nothing in this section removes any refund or cancellation right the law gives you where you live. Where you have a statutory right to a refund, that right applies regardless of how we allocate fees internally.
We may change the subscription price. If we change the price you pay, we will tell you by email before the change takes effect and before your next renewal, and the new price only applies to renewals after that notice. You can cancel before it takes effect. Members who joined at an earlier price may keep it for as long as their subscription stays active, at our discretion.
If you dispute a charge, contact us first at gardeners@wearewalledgarden.com so we can resolve it. Because each month's subscription is allocated and paid to artists shortly after it is charged, a chargeback filed without contacting us recovers money we have already paid out. Filing a chargeback for a charge you actually authorized is a breach of these terms. We may suspend your account while a chargeback is open, and you agree to repay the disputed amount together with any fee our payment processor charges us for it.
Artists must own or control the rights to everything they upload, both the sound recording and the underlying musical composition, including samples, collaborator permissions, and any cloned or synthetic voices. Publishing on Walled Garden grants us the non-exclusive license needed to stream the recording and composition to subscribers, including mechanical and public-performance rights for works the artist wrote or controls. Cover songs and compositions published by third parties are not permitted unless the artist controls those publishing rights. Artists retain full ownership of their music. Violations of the human-led artist policy or AI-use policy may result in content removal, account suspension, and withheld payouts, and deliberate abuse may trigger the clawback and recovery of losses described in section 6b.
Artist payouts are calculated monthly from qualified listening and paid according to the payout details on file, subject to fraud review and a minimum payout threshold ($25 by default; contact us to change it). Balances below the threshold carry forward and are never forfeited. Payout runs happen monthly after the prior month settles. We review listening for fraud and exclude streams we determine to be fraudulent from payouts.
Deliberately gaming the payout system is a material breach of these terms. This includes, without limitation: uploading mass-generated or AI-generated recordings passed off as human-made work, operating fake or bot listener accounts, artificially inflating plays of your own or others' catalog, coordinating streams to divert the artist pool, and misrepresenting authorship or rights in the publish declaration. Determinations of fraud are made by Walled Garden in good faith based on the available evidence.
If we determine you engaged in this conduct, you agree to repay every amount you were paid that is attributable to it, and you authorize us to recover it by reversing pending payouts, offsetting future payouts, and reclaiming amounts already transferred.
Beyond the amounts paid to you, this conduct causes Walled Gardenand its honest members real losses that are difficult to measure precisely at the time of the breach. The parties therefore agree that the following are a reasonable pre-estimate of those losses, not a penalty, and are recoverable as liquidated damages in addition to the repayment above: (a) the amounts wrongly diverted from other artists' monthly allocations, which we may use to make those artists whole; (b) our costs of detecting, investigating, and remediating the fraud, including staff time, re-running affected allocations, and any payment-processing, chargeback, or reversal fees we incur; and (c) our reasonable legal costs and attorneys' fees in recovering the above. Because a single fraudulent scheme typically inflicts each of these harms at once, the total recoverable will ordinarily be a multiple of the amount you were paid. Nothing here limits any additional remedy, including statutory or treble damages, available to us by law.
These obligations survive suspension, removal, and deletion of your account, and a debt established under this section is not discharged by closing your account. We may report fraud to affected members in aggregate and, where appropriate, to payment processors and authorities.
You are solely responsible for determining, reporting, and paying any taxes that apply to payouts you receive, including any income, self-employment, VAT, GST, or other taxes in your country of residence. Walled Garden does not provide tax, legal, or accounting advice, and nothing in these terms or on the platform is such advice.
Before we can pay you, you may be required to provide accurate tax information. If you are a US person, this includes a valid Form W-9. If you are not a US person, this includes a valid Form W-8 (for example W-8BEN or W-8BEN-E). We may be required to withhold amounts from your payouts, or to report payments to tax authorities, as required by applicable law. We may delay, withhold, or reverse payouts until required and accurate tax information is on file, and you are responsible for keeping that information current. You agree that the tax information you provide is true and complete.
No bots, stream manipulation, scraping of audio, account sharing at scale, or attempts to game user-centric allocation. We monitor for abnormal listening and payout patterns.
You may not use the catalog, or any content on the platform, to train, fine-tune, or develop any artificial intelligence or machine-learning model, or to text- or data-mine the service, without our written permission. Walled Gardendoes not use artists' uploaded recordings or compositions to train generative AI models. We do analyze audio to operate features of the service, such as matching similar music for radio and discovery, and we describe how that works on our transparency pages.
If you believe content on Walled Garden infringes your copyright, send a notice with the details listed on our copyright page to gardeners@wearewalledgarden.com. We remove infringing content, terminate repeat infringers, and forward counter-notices as the DMCA provides.
When an artist (or a label acting with an artist's consent) publishes a release, the publish declaration they accept is a warranty to Haspari LLC that they own or control every right needed to stream both the recordings and the underlying compositions. If that warranty is untrue and a third party (including a music publisher, publishing administrator, co-writer, producer, or former band member) brings a claim against Haspari LLC arising from the release, the account holder who made the declaration agrees to defend, indemnify, and hold harmless Haspari LLC from the resulting damages, settlements, and reasonable legal costs and attorneys' fees, and is solely responsible for them. Haspari LLC may remove the disputed material and withhold related payouts while a claim is investigated, and may apply withheld or future payouts toward these amounts. This obligation survives removal, suspension, and deletion of the account.
Revenue splits configured on a track direct how that track's earnings are divided from the next monthly settlement onward. Each month's settlement honors the splits in force when that month is first calculated; changing a split later does not rewrite months already settled. Splits are an instruction to Haspari LLC about payment routing, and the underlying agreement between collaborators remains between them.
The service is provided as is, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Walled Garden's total liability for any claim arising out of the service is limited to the amount you paid us in the twelve months before the claim arose. To the maximum extent permitted by law, Walled Garden is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we were told such damages were possible; this exclusion applies in addition to, and separately from, the liability cap above. The service is under active development and provided in an early-access state. Features, the catalog, and the details of how payouts are calculated may change, and the service may have interruptions or errors. Nothing in these terms limits liability that cannot be limited by law, including liability arising from gross negligence or willful misconduct.
The Walled Garden website is owned and operated by Haspari LLC, a Wyoming limited liability company. The Walled Garden mobile applications for iOS and Android are published and operated by Resonant Labs. These terms are a contract between you and Haspari LLC and apply to the website and both applications. They are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, and any dispute will be resolved in the state or federal courts located in Wyoming, except where the law of your place of residence grants you non-waivable rights or venue. Before filing any claim, you agree to contact us and give us 30 days to resolve the issue informally. If you are a consumer, nothing above takes away your right to bring a claim in the courts where you live, or to rely on the mandatory consumer protections of your home country.
Material changes to these terms will be announced to members before taking effect. Core mission principles are additionally protected by the co-op charter.
You keep ownership of the content you create on the platform, including playlists, profile text, artwork, and display names. By posting it, you grant Haspari LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content only to operate and provide the service, including showing a playlist to anyone you share its link with. This license ends when you delete the content or your account, except for copies we must keep for backups, legal compliance, or payment records. You also grant us permission to show your artist or account name and the content you publish as part of normally operating the service, such as on your artist page, in search, and on playlists you share.
Feedback you send us about the service is given freely, and you grant us the right to use it without obligation or payment to you.
You may not transfer your rights or obligations under these terms without our consent. Haspari LLC may transfer these terms to a successor that acquires the business, provided that successor agrees in writing to be bound by these terms, including the mission commitments in the co-op charter referenced in section 12. These terms bind and benefit each party's permitted successors. Sections 5, 6, 6b, 7, 9b, 10, 11, 13, and this section, along with any payment or clawback obligation and any license you granted us to operate the service, survive the end of your account or these terms.
If any part of these terms is found unenforceable, the rest stays in effect. These terms, together with the policies they link to, are the entire agreement between you and Haspari LLC about the service, and replace any earlier understanding, including statements on our other pages. If we do not enforce a term right away, we do not give up the right to enforce it later. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of payment, hosting, or network providers. We give you legal notices by email to the address on your account or by posting in the app; you give us notice at gardeners@wearewalledgarden.com. Section headings are for convenience and do not affect meaning.
